Rights & mechanics
Review issuance, transfer, redemption, governance rights and the relationship between the token and the underlying product.
Resolve the legal questions in your token design before the offering takes shape. We analyze the rights, transfer mechanics and use of proceeds, then prepare the assessment and any regulatory inquiry the project needs.
Scope & fees
The same technology can represent access to a service, a payment mechanism or an investment interest. The legal work begins with what the holder receives and what the issuer promises. We bring the product, technical and commercial descriptions together so the classification is based on one consistent set of facts, with any unresolved design choices made visible.
Review issuance, transfer, redemption, governance rights and the relationship between the token and the underlying product.
Assess the token’s function and the financial-regulation questions it creates for the issuer and service providers.
Where required, prepare a factual description and focused questions for FINMA, then coordinate clarification requests.
Review the offering description and contractual terms against the assessed design to identify inconsistencies before launch.
Collect the rights, lifecycle, intended users and technical features relevant to the legal analysis.
Work through the classification and explain which design choices affect the conclusion.
Prepare an authority inquiry where appropriate and manage the factual follow-up.
Update the legal documents and identify remaining permissions or offering requirements.
The assessment can start during product design. An authority response follows its own review process; changes to the token while an inquiry is pending may require updated materials.
We distinguish a written classification assessment from an authority inquiry and offering-document work. Each phase is quoted against a defined token design and agreed deliverables.
Authority charges, tax advice, smart-contract audits and additional-country advice are separately scoped.
